Definitions

The following terminology applies to these “Terms and conditions”.

“Client”, The Buyer”, “you” and “your” refers to you, the person, the school, or other educational organization or training provider including any of the following : Nursery, Infant School, Primary School, Junior School, Middle School, Secondary School, Special School, Private School, University, Private Individual, Church, Business, Company or any such other.

“A-life Ltd.”, “The company”, ourselves, “we” and “us” refers to A-life Limited and when relevant, authorised licensed sub-contractor providing Sessions.

“Party”, “us” or “Parties refers to both the client and/or ourselves
All terms refer to the offer, acceptance, and consideration of payment from the client for services/products provided by us. Any use of the above terminology are also interchangeable with other words in the singular or plural.

Disclaimer

The information and advice on this website or taught during the workshops is given in good faith and has been researched thoroughly from a number of sources. No liability shall be accepted for any mistakes, omissions or inaccuracies.
– Excludes all liability for damages to your computer, computer software systems and programs and data, as a consequence of incidental damages.
– If you wish to link to our website you must ask for written consent. If you do create a link to the site you do so at your own risk.

Prices

All prices are subject to VAT @ 20% (or the rate at the time of invoice) and will be stated clearly on each invoice. At the time of booking the price will be agreed and sent as part of the confirmation of booking. Where contracts have been entered into our terms entail payment within 1 month of the invoice date. Payment on the day is preferred. Monies that remain outstanding after the due date will incur late payment interest of 5% per week until the payment has been paid in full. A-life reserves the right to seek recovery of any outstanding payment remaining unpaid sixty days from the invoice via collection agencies or via the small claims court (if under £3000).
Travelling expenses, congestion charge, parking, hotel expenses may be agreed as part of the price. Educational Resources, Posters etc. will be available for purchase as an addition to the buyer
Payment terms – Payment for the invoice is due within 30 days of A-life visiting your school (or if cancelled the date on the invoice)
Cheques payable to A-life LTD. BACS Transfer is also accepted and bank details will be sent with the information pack at the time of bookings.

Cancellation Policy

Date changes: An administration charge of £20+vat per day will apply to all date changes once confirmed. If the date changes are made less than 14 days prior to the booking date, the amount payable shall be £100+vat per day additional to the original invoice amount. The date may only be changed ONCE per booking. If the new agreed date does not go ahead, the full amount shall be payable.
Cancellation: If the school cancels the booking completely less than 14 days before the day, the amount payable shall be the full amount.

Termination of Agreements and Refund Policy

Either party has the right to terminate the contract agreement. No refunds shall be offered, where a serviced has deemed to have begun and is underway.
We are proud of our reputation for quality service provision, promptness and efficiency; we recognise the importance of keeping to timings and endeavour always to insure prompt arrival and completion of sessions. However, unforeseeable circumstances outside of our control can happen at anytime and we are un-able to guarantee specific times accordingly.

Intellectual Property Rights

In accepting the A-life Terms & Conditions you warrant that you will not copy, adapt or reproduce any information in any way. Copyright and intellectual property rights exist on the expression of the idea and content including all literature, website, workshops and promotional material, a breach of which may give rise to legal proceedings being instigated.

Force Majeure

Neither party shall be liable to the other for any failure to the agreed contract under circumstances beyond the control of such party including: terrorism, war, riot, political insurgence, flood, earthquake, act of God or any other natural or man made eventuality outside of our control. Any party affected by any such event shall use all reasonable steps to comply to the conditions of the contract and may re-schedule another date.

Risk and Ownership

In the instances that “you” purchase any resources, posters etc. the risk involved with any goods will pass to the buyer on delivery. The “seller” retains Title (ownership) of the goods until payment has been received in full.

Variation of Terms

We have the right to vary these terms from time to time, providing reasonable notice is given.

Logos

We use IP addresses to analyse trends, administer the site, track user’s movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Complaints

A feedback form will be provided during or after a session. Should there be any complaints or constructive comments they will be dealt with in a fair and confidential manner.

Jurisdiction

The laws of England and Wales govern these Terms and conditions of trading.
